Terms and Conditions of Sale of Forss OÜ

1. General Provisions

1.1. Forss OÜ (hereinafter the “Seller”) sells automotive spare parts and accessories (hereinafter the “Goods”) to private individuals and legal persons (hereinafter the “Buyer”) at stores operating under the „Forss“ trademark located at Aardla 23c in Tartu, Mooni tn 30 in Tallinn, Tähesaju tee 7 in Tallinn, and Allika tee 12 in Peetri, Rae vald, Harju maakond, as well as through the online stores forss.ee and forss24.ee. The Seller also provides vehicle repair and maintenance services (hereinafter the “Services”) at its service centers located at the same addresses, in accordance with the order placed by the Buyer.
1.2. The Buyer undertakes to pay for the Goods and Services in accordance with these terms and the conditions established in the invoice issued by the Seller.
1.3. These terms form an integral part of the sales agreement concluded between the Seller and the Buyer, as well as the order submitted by the Buyer.
1.4. The terms are published and available on the Seller’s website and at all Seller’s service locations.

2. Price of Goods and Services

2.1. The payment for Goods and Services is based on the price list established by the Seller, which is available at the Seller’s service locations and on the website forss.ee. Prices shown in the online store apply to the products listed there. The price in the online store may be subject to an additional delivery fee. Prices valid on the date of the order apply unless otherwise agreed between the parties. All prices are stated in euros and generally include applicable VAT unless stated otherwise.
2.2. Discounts and price reductions regarding Goods and Services are subject to separate agreements between the parties. Such agreements form an integral part of these terms, are confidential, and shall not be disclosed to third parties.
2.3. The Seller has the right, after notifying the Buyer in advance, to withdraw from applying discounts or price reductions if the quantity of Goods purchased by the Buyer does not justify the discount.

3. Payment Terms

3.1. When ordering Goods through the Seller’s online store forss24.ee, the Buyer may pay by bank link, payment card, or choose to pay at the Seller’s service location upon collection. Payments are processed by Montonio Finance UAB (Lithuanian registration number 305205122). Payment takes place outside the online store in a secure environment—bank link payments occur in the corresponding bank’s secure environment, and card payments occur in Montonio Finance UAB’s secure environment. The Seller does not have access to the Buyer’s payment card data.
3.2. Upon delivery of Goods or Services at the Seller’s locations, the Buyer may pay the invoice in cash, by payment card, through hire purchase (hire purchase services are mediated by Inbank, and the hire purchase agreement is concluded between the Buyer and Inbank under Inbank’s terms), or using a combination of these payment methods. If the Seller has granted the Buyer a payment term, the Buyer must pay the invoice by the due date shown on the invoice, by transferring the payment to the Seller’s bank account stated on the invoice or paying in cash or by card at the Seller’s location.
3.3. The Buyer shall bear all costs related to the payment of the invoice. An invoice is considered paid when the full invoiced amount has been credited to the Seller’s bank account.
3.4. In case of delay in the fulfillment of any payment obligation, the Seller has the right to charge default interest at the rate provided by the Law of Obligations Act and, at its discretion, initiate judicial or extrajudicial debt collection. All costs associated with such collection shall be borne by the Buyer.
3.5. If the Seller has issued a prepayment invoice to the Buyer and more than fourteen (14) days have passed from the payment due date without payment, the Seller has the right to suspend or cancel the order or sales contract.
3.6. The Seller has the right to refuse to accept orders, deliver Goods, or provide Services if the Buyer has outstanding debts to the Seller, has failed to pay invoices on time, or if the order exceeds the Buyer’s credit limit.

4. Delivery, Return of Goods, and Warranty

4.1. In the online store forss24.ee, the Buyer may choose delivery via various parcel lockers in Estonia or collection from one of the Seller’s service locations. In case of parcel locker delivery, the price of the Goods may be subject to an additional delivery fee. Detailed information is provided on the same online store page where the Buyer selects the delivery method.
4.2. In case of parcel locker delivery, the Seller generally dispatches the Goods within two working days and sends a notification to the Buyer’s email.
4.3. If the ordered Goods cannot be delivered due to stock depletion or for another reason (e.g., the Goods do not fit into the parcel locker due to size), the Buyer will be informed as soon as possible and the paid amount (including delivery fees) will be refunded without delay, or another delivery method or time will be agreed with the Buyer.
4.4. If the Buyer has not collected the Goods made available for pickup at the Seller’s service location within 30 calendar days from receiving the notification that the Goods have arrived, the Seller has the right to sell the Goods or, in the case of products specified in clauses 4.5, demand fulfillment of the obligation.
4.5. The Seller does not repurchase Goods ordered specifically for the Buyer if such Goods have been ordered from the manufacturer or suppliers based on the Buyer’s specifications or needs (for example, if the ordered spare part fits only the vehicle specified by the Buyer or vehicles rarely found in Estonia). In such cases, the Buyer’s advance payment will not be refunded.
4.6. The Buyer must carefully inspect the Goods immediately upon receipt, in particular verifying conformity to the ordered type and quantity.
4.7. When returning Goods, the Buyer must follow the Seller’s instructions ‘Return of Goods and Withdrawal from Contract’
4.8. The Buyer has the right to submit claims regarding non-conformity or defects of the Goods or Services within two years from the date of delivery. The warranty terms applicable to Goods and Services are stated in a separate document ‘Forss OÜ Warranty Terms for Goods and Services’

5. Final Provisions

5.1. The Seller uses personal data entered by the Buyer only for processing the order and delivering the Goods. The online store forwards personal data to the transport service provider only for delivery of the Goods.
5.2. The name and logo ‘Forss’ are registered trademarks and may only be used with the Seller’s prior written consent.
5.3. The Seller has the right to unilaterally amend these terms and conditions at any time by publishing the updated terms on the Seller’s website. The sales order and sales contract are governed by the terms in effect at the time the order is placed.
